I certify that I am an Accredited Investor through following requirement:

1. A natural person who has individual net worth, or joint net worth with your spouse, that exceeds $1 million at the time of the purchase OR you are an Individual Retirement Account (IRA), a Keogh Plan covering a self-employed individual or a self-directed retirement plan account whose beneficial owner (individually or with his or her spouse) has a net worth exceeding $1million. (Net worth means the total value of assets at fair market value, including home, minus total debts/liabilities. 2. A natural person with an income exceeding $200,000 in each of the two most recent years or joint income with spouse exceeding $300,000 for the two most recent years and a reasonable expectation of attaining the same income level in the current year. 3. A corporation, partnership, limited liability company, or similar business trust, or a non-profit organization (each, a “business”) not formed specifically to invest in DUNN Capital Management, LLC managed investment products, with total assets in excess of $5 million OR a business, not formed specifically to invest in DUNN Capital Management, LLC managed investment products, inwhich all the equity owners are accredited investors. 4. A bank, savings and loan association, broker, dealer, insurance company, registered investmentcompany, private business development company, or licensed small business investment company. 5. An employee benefit plan, within the meaning of the U.S. Employee Retirement Income Security Act of 1974, as amended if a bank, savings and loan association, insurance company, or registered investment adviser makes the investment decisions, or you are an employee benefit plan established by a government or governmental agency for the benefit of its employees, with total assets in excess of $5 million. 6. A trust with assets in excess of $5 million, not formed to acquire DUNN Capital Management, LLC managed investment products, and whose investments are directed by a knowledgeable and experienced person capable of evaluating the merits and risks of an investment OR you are a revocable trust whose grantor can revoke the trust and is an accredited investor OR a trust whose trustee is a bank, savings and loan association, or similar institution.
